Atlantic Law celebrates 10 successful listings on PLUS

Welcome to the inaugural issue of The Atlantic Law Newsletter.

It has been an exciting start to 2007 at Atlantic Law with the listing of five new companies on the PLUS Market, resulting in Atlantic Law celebrating 10 successful listings on PLUS.

Atlantic Law acts as Corporate Advisor for The Merchant Group International Plc, SPDG Technologies Plc, Silverback Media Plc, Anca C Plc, Global Entertainment Group Plc, Telekom Atlas On-Line Plc, Oriental City Group Plc, Secure Fortress Plc, Phoenician Corporation III Limited and Private Trading Systems Plc.

The purpose of The Atlantic Law Newsletter is to give you an update on the Firm, whilst bringing you up to date with the latest news on London’s LSE, AIM and PLUS Markets, and changes in rules for the markets in general. Plus Market Prospers

After a long period of market uncertainty, the PLUS Market (formerly OFEX) is now booming. Led by Simon Brickles, former head of the AIM Market of the London Stock Exchange (LSE) PLUS has undergone a major transformation in the last two years. Following the successful raising of £25 million in December 2006, and the appointment of two former LSE Directors, Ian Slater, and Giles Vardy; PLUS has turned from a troubled market, into one that has the potential to take on the LSE’s AIM Market.

There are currently 194 companies quoted on the primary PLUS Market with a total market capitalisation of £2.45 billion. More than 855 companies are trading on the secondary PLUS TRS. During 2006, 61 companies joined PLUS. The amount of money raised by PLUS companies to date is £1.34 billion. This represents both primary and secondary issues. The combined market capitalisation of companies on PLUS primary and secondary listings now exceeds £155 billion.

Atlantic Law served as the PLUS Advisor to the successful listing of Oriental City Group on the PLUS Market on 12 March 2007.

OCG issues lifestyle Credit Cards in Hong Kong, China and Asia Pacific countries which offer a variety of lifestyle benefits to its cardholders based on their lifestyle interests.

OCG has enjoyed a promising start to Q1 2007, with the announcement that it has become co-sponsor at the TCL Classic golf tournament in China, partner sponsor to the UBS Hong Kong golf tournament, and its successful dual listing on the Frankfurt Stock Exchange.

Phoenician III Corporation

Phoenician will serve as a vehicle for investment in specific Chinese companies or companies with Chinese businesses in the manufacturing sector which have products with international applications, whether through acquisition, share purchase, merger, share capital exchange, or similar transactions.

Phoenician was officially listed on the PLUS Market on 25 May 2007, with Atlantic Law as its Corporate Advisors.

Atlantic Law recruits more International qualified Lawyers

Atlantic Law has recently recruited a US qualified Attorney, a Canadian qualified Solicitor and Barrister, an Australian qualified Solicitor, and a trainee solicitor who is fluent in Cantonese.

Dual Listing Options

AIM Fast-Track Route

Companies who have had their securities traded on an AIM Designated Market for at least 18 months prior to the date of admission to AIM can apply to be admitted to the AIM list without having to produce an admission document.

PLUS Dual Listings

An issuer on a Recognised Investment Exchange ("RIE") may submit an application to become PLUS-traded. Whilst AIM is not an RIE, AIM companies are still able to become PLUS-traded, by providing consent and completing an issuer agreement to ensure an open line of communication for "orderly" market purposes.

Secondary Listing Frankfurt

A secondary listing on the Frankfurt Exchange provides a company with the ability to access additional liquidity and attract European Investment. The electronic trading platform of the exchange, Xetra, which is geared towards emerging growth companies, has limited requirements, and for PLUS companies can be completed in approximately 30 business days.

American Depositary Receipt (ADR's)

PLUS companies are eligible to issue level 1 ADR's. This can potentially provide non US Companies with expanded market share through broadened and more diversified investor exposure with potentially greater liquidity, which may increase or stabilize the share price.

AIM Shares tax advantage remains

There had been a concern before the Budget 2007 that AIM Shares may loose their current tax advantage, by becoming a "quoted share". The HMRC did change the definition for "quoted shares" to include any shares being exchanged on an "RIE". Since AIM is yet to be recognised as an "RIE", the existing tax relief available for AIM Shares is unaffected.

PLUS Introduction Update

As of 30 April 2007, the fee payable for introduction to PLUS will increase to £25,000 for UK and International Companies who do not produce an Admission Document or prospectus. The fees relating to the other application categories will remain unchanged. We have already made a determination that all applications handled by Atlantic Law will be made by an Admission Document.
